They are different kinds of products. Apple TV is in more direct competition with Roku. Google TV "should" have all of the same things and work with your normal tv viewing.
Google will have Netflix and whatever Amazon is going to spit out. We are just waiting for local/network file viewing, which will probably just be an app addon if it isn't there at launch.
My only want from Google TV is to get rid of the settop box all together instead of work with it. Save some money on my cable bill and not add one more device to the power strip.
