Rom vs. Theme

I need some help themes. I noticed when different roms are installed there is a different theme too. with that said, can you install different themes on different roms? if so then what is the point of installing different roms if themes have the same effect?

Also, could someone explain why programs like open home or panda are needed for themes?

Roms do more than just change how your phone looks. There are also software changes to make your phone run smoother, overclock your cpu, ect. Themes are just "eye candy" as one could put it. You can get themes from Open Home, Panda, or you can download Metamorph and use it to apply themes as well.
