why does my phone sat S/W upgrade please wait? how long does it take and why does it happen? how can i stop it?
 
You do not want to stop it as that could 'brick' your phone.

Basically, it looks like your phone's operating system is being updated. That is usually a very good thing, though you may need to update some of your older apps to get a compatible version.
