Phone wants to update

I'm getting an update nag on my Ring. Running Android 4.1.2, Kernel 3.4.0-1382747

Phone is rooted, and I'm thinking I'll lose root if I allow this update. Am I right? Anyone tried to update while rooted?

Look for a file called fotakill, inserted into data/app it blocks ota updates.
