That pop-up looks different than mine. I rolled back to VRBMB1 after poor 4G performance with VRBMB3. I'm too chicken to update to VRBMF1 or root my phone so I keep deferring it out to the max (5 days, IIRC).
You don't mention what version you're on ("Settings" -> "About phone" -> "Baseband version"). If you're already on VRBMF1, then I don't know why it's doing that.
At any rate, you could probably do a search to find out how to prevent OTA checks with a rooted S3. I'm guessing there's a way to do it.
