Lots of info on here..use the "search" on the top right of the page and search for Guides and How To's for building custom roms.

+ hang around here...always someone to help you if you have a DEV ?

For building Android you need to use a Linux OS on your PC. Once you have a Linux distro up and running you need to build a build environment. You can learn that HERE

For themes you need Adobe Photoshop or a program like it. GIMP is a good free one. You only need those if you are building a theme from scratch. If you are say porting one all you need is 7Zip and at time Notepad++ for XML edits/changes which both of those are free.

Also I came across a program thanks to dually79 called Greenfish Icon Editor. Its basically an advanced MS Paint. Also free
 
Well the best and easiest way that I know of to start at is fokkowing the Initializing The Build Environment tutorial at Source.Android.com and read up on what each command does from the tutorials on the left of that page. Really fun stuff too. I am actually working a little bit on CM9 right now seeing if i cant get some more progress here and there for our device.
 
Well you do not need a 64bit processor to do this no but the thing about that is that some things will run better on 64bit machines than on 32 bit but all will run fine on 32bit if you follow the guide.
