Registered your phone to a gmail account?

Accepted the terms of service for the Android Market?

Have an active data connection, either 3G or Wifi?
 
Sometimes the market has temporary regional outages, so you might want to give it a couple of hours an then restart your phone. If that doesn't fix it,
you can go to menu>settings>applications>manage applications and scroll to the market, you can clear the cache and data. You will have to re-accept the terms or service, but it could clear up your download problems.
