An OTA is an over-the-air update of the Android operating system sent-out by the carrier. The updates typically correct issues and enhance functionality and sometimes include major version upgrades like going from ICS to JellyBean, etc.
They have their own testing, debugging, and time schedules as to when (and if) an particular OTA update is sent-out.
