Root Upgrading OS for Rooted 4g Xoom Tablet

I rooted my android device for the first time a while back. I'm still kind of getting used to the new fun things I can do with it now. I'm now getting a consistent pop-up though asking me to upgrade to Android version 4.1.2 (Jelly Bean), I'm currently on Android version 4.0.4. Before I do this I have a couple of questions for those of you out there with more experience and knowledge on this than me.

1) It is my understanding from reading some other posts that if I run the update through them it will overwrite my rooting, and I'll have to re-root the tablet. Is this correct?

2) Assuming that (#1) is correct, can anyone point me to a good, safe, place to download the update version 4.1.2, with steps for the proper way to run it without loosing your root access and all the data on your tablet?

Thank you in advance for any help. As I said I'm still learning a lot of this process at this point.

Normally you can use a rootkeeper app to backup root prior to update and restore it after. Keep in mind, you will need ot have the stock recovery, kernel, and bloatware present for the update to install properly.
