Root Exchange concern

I just got a notice from my exchange account that I have to activate a device administrator as a security feature. I use my exchange for business, so I need to have it on my phone.

I guess I am concerned because it states that after activating this administrator it will allow the following:

-Erase all data: factory reset without warning
-Set new passwords
- Monitor screen unlock attempts
- Lock the screen

I am mostly concerned about the factory reset without warning. I mean, that would completely suck to turn on my phone and its been reset on its own.
And I suppose the whole setting new passwords would be annoying, as I don't want to be forced to type in a new password after every time I woke my phone up from sleep. That would be highly unproductive.

Any thoughts on this? Anyone have any issues with their phone suddenly erasing without warning after activating this? Anyway around it?

thanks!

Ive asked this before also, I was unable to even get exchange to work after flashing to a different ROM, and by using exchange, it does allow your administrator control over your phone,I have to have a password enabled to access my phone when I was using it. I ended up using touchdown, its a standalone exchange app, and has the required security features built in that your administrator requires, but does NOT give your administrator access to the phone, although the program makes it think it has, its a little pricey, around $20, but you get a 30 day trial to try it, little hard to set up at first but works like a charm, check it out....
