If your running SPRecovery or Clockwork Recovery you should be fine. Just accept the update and then the phone will boot into recovery and block the update. After the phone reboots you won't receive the update any more.

Actually I am finding that if I reboot again after the failed install, I am getting the reminder again.

Thats odd, I've never had that happen, usually after the install fails the OTA message goes away...
What recovery system are you using.
