Found a way to get Google Now to work on ICS.

1st Make sure you are rooted
2nd download this file: M7_Offline.zip
Follow these instructions to install
3.in the downloaded zip, extract the /system folder into your SD card.
4.Fire up ES File Explorer (or whichever one you feel like using).
5.If you haven't used ES File Explorer before, open it, then hit menu.
6.Tap settings, then scroll all the way down.
7.Tap the entry that says "Root Settings" and make sure everything in there is checked.(pic).
8.Allow root access when the dialogue box for Superuser pops up.
9.After that, check off "Mount file system", then back out of the menu.
10.Navigate to the SD card with the Google Now /system folder.
11.Long press on the /system folder and select "Copy" from the menu.
12.Navigate up to the root (/) directory and then press the "Paste" button on your menu bar at the top.
13.It will ask if you want to overwrite the files. Tell it yes.
14.rename GoogleQuickSearchBox.apk from /system/app to "GoogleQuickSearchBox.apk.bak"
15.Now we need to set permissions.
16.Move into /system/app and scroll down to find GoogleTTS.apk.
17.Long press GoogleTTS.apk and select "Properties".
Change the permissions to
User r rw
Group r
Other r
18.Scroll down and find Velvet.apk.
19.Long press Velvet.apk and select "Properties".
Change the permissions to
User r rw
Group r
Other r
20.Navigate to /system/usr/srec/ and find two folders named "config" and "en-US"
21.Tap and hold on the "config" folder icon to bring up the options menu, then scroll down to Properties.
Tap properties, then tap change and see if the check boxes match this
User r rw x
Group r x
Other r x
22.Do the same thing for the "en-US" folder.
23.If it matches, leave it alone and head back to your home screen to enjoy using Google Now! If it doesn't match, change it so it does.
